Background of the Study
Board independence is a fundamental principle of corporate governance, emphasizing the need for boards to operate without undue influence from management or other stakeholders. Independent boards are believed to enhance decision-making, accountability, and oversight, thereby improving corporate performance.
In the context of Nigeria's agribusiness sector, companies like Flour Mills Nigeria face challenges such as fluctuating commodity prices, climate change, and inadequate infrastructure. These challenges require robust governance mechanisms to ensure sustainable performance. Board independence, characterized by the presence of non-executive and independent directors, is particularly critical in mitigating risks and fostering strategic decision-making.
This study explores the relationship between board independence and corporate performance in Flour Mills Nigeria, focusing on its operations in Benue State. Statement of the Problem
The performance of many Nigerian agribusiness firms is hindered by governance challenges, including the lack of board independence.
