Background of the Study

Board independence is a fundamental principle of corporate governance, emphasizing the need for boards to operate without undue influence from management or other stakeholders. Independent boards are believed to enhance decision-making, accountability, and oversight, thereby improving corporate performance.

In the context of Nigeria's agribusiness sector, companies like Flour Mills Nigeria face challenges such as fluctuating commodity prices, climate change, and inadequate infrastructure. These challenges require robust governance mechanisms to ensure sustainable performance. Board independence, characterized by the presence of non-executive and independent directors, is particularly critical in mitigating risks and fostering strategic decision-making.

This study explores the relationship between board independence and corporate performance in Flour Mills Nigeria, focusing on its operations in Benue State. By examining this relationship, the study contributes to understanding how governance practices can improve corporate outcomes in the agribusiness sector.

Statement of the Problem

The performance of many Nigerian agribusiness firms is hindered by governance challenges, including the lack of board independence. Flour Mills Nigeria, despite being a leading player, faces criticism regarding its governance structures, which may affect its ability to respond to sectoral challenges effectively.

Although board independence is widely regarded as a driver of corporate performance, empirical evidence on its effectiveness in the Nigerian agribusiness sector remains limited. This gap hinders the ability of companies to adopt evidence-based governance practices. This study aims to address this issue by examining the relationship between board independence and corporate performance in Flour Mills Nigeria.

The study focuses on Flour Mills Nigeria in Benue State, examining the relationship between board independence and corporate performance. While the findings are valuable, they may not be generalizable to other agribusiness firms or regions. Data access and variations in governance practices across firms may pose limitations.
